IF LIABILITY IS FOUND, ASTRA POS'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Astra POS LLC, its officers, members, employees, contractors, and affiliates from claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the website, violation of these Terms, violation of any law, or violation of any third-party rights.

Astra POS shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, internet outages, utility failures, cyberattacks, government actions, labor disputes, acts of war, and pandemics.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles.

18. Arbitration Agreement

Any dispute arising out of or relating to these Terms or the website shall be resolved through binding arbitration. Arbitration shall take place in Gwinnett County, Georgia. The parties waive the right to a jury trial.

19. Class Action Waiver

You agree that disputes shall be resolved solely on an individual basis. Neither party may participate in class actions, collective actions, representative actions, or private attorney general actions.

20. Attorneys' Fees

In any dispute arising under these Terms, the prevailing party shall be entitled to recover reasonable attorneys' fees, court costs, and related expenses.

21. Modifications to Terms

Astra POS reserves the right to update these Terms at any time. Updated Terms will be posted on the website with a revised effective date. Continued use of the website constitutes acceptance of the revised Terms.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms constitute the entire agreement between Astra POS and website users regarding use of the website. Separate agreements may govern software subscriptions, payment processing services, hardware programs, marketing services, and other products.

Acceptable Use Policy

Effective Date: June 11, 2026

This Acceptable Use Policy ("AUP") governs the use of all products, software, services, websites, applications, payment processing services, portals, hardware, and related technologies provided by Astra POS LLC ("Astra POS," "Company," "we," "our," or "us"). This policy forms part of the Astra POS Software Subscription Agreement, Merchant Processing Services Addendum, Website Terms of Use, and any related agreements. All users, merchants, employees, contractors, technicians, administrators, and authorized users ("Users") must comply with this policy.

1. Purpose

Astra POS provides technology solutions designed to help legitimate businesses operate efficiently and securely. This Acceptable Use Policy exists to protect customers, consumers, payment networks, and Astra POS systems; to prevent fraud and abuse; to maintain platform security; and to ensure regulatory compliance.

2. Compliance With Law

Users must comply with all applicable federal laws, state laws, local laws, industry regulations, payment network rules, and licensing requirements. Use of Astra POS services for unlawful activities is strictly prohibited.

3. Prohibited Activities

Users may not use Astra POS services for:

Illegal Activities: criminal conduct, fraudulent activities, identity theft, money laundering, terrorist financing, human trafficking, illegal gambling, and unauthorized financial services.

Deceptive Practices: false advertising, misleading pricing, misrepresentation, fake transactions, and fictitious sales.

Unauthorized Transactions: processing transactions without authorization, processing transactions on behalf of another business, transaction laundering, and cash advances disguised as sales.

4. Prohibited Products and Services

Astra POS services may not be used to sell, promote, or facilitate:

Illegal Products: illegal drugs, drug paraphernalia, counterfeit goods, stolen property, and pirated materials.

Restricted Financial Activities: unlicensed lending, pyramid schemes, Ponzi schemes, investment scams, and cryptocurrency fraud.

Fraudulent Services: credit repair scams, debt elimination scams, advance fee scams, and false government services.

Other Prohibited Activities: harassment, hate-based activities, illegal discrimination, malware distribution, and unauthorized surveillance.

Astra POS reserves the right to determine whether a business activity presents unacceptable risk.

5. Payment Processing Abuse

Merchants may not process transactions for another business, split transactions to avoid scrutiny, manipulate transaction records, create fictitious transactions, process self-payments, or process transactions for unlawful purposes. Merchants must accurately identify products sold, services rendered, transaction amounts, and customer information.

6. Dual Pricing, Cash Discount & Surcharging Compliance

Merchants participating in Dual Pricing, Cash Discount Programs, or Surcharging Programs must comply with state laws, federal laws, card network rules, and disclosure requirements. Merchants are solely responsible for required signage, consumer disclosures, pricing accuracy, and program compliance. Astra POS may suspend services if violations are discovered.

7. Account Security

Users are responsible for protecting passwords, protecting credentials, managing user permissions, and monitoring account activity. Users may not share credentials, circumvent authentication controls, access unauthorized accounts, or attempt unauthorized access. Astra POS may suspend compromised accounts.

8. Software Misuse

Users may not reverse engineer software, copy software, modify software, decompile software, circumvent licensing controls, create derivative works, or resell software without authorization. All intellectual property remains the property of Astra POS LLC.

9. System Interference

Users may not introduce viruses, ransomware, or malicious code; interfere with platform operations; launch denial-of-service attacks; or attempt security testing without authorization. Any attempt to disrupt services may result in immediate termination.

10. Data Usage

Users may not harvest customer data without authorization, collect information unlawfully, use customer data improperly, sell personal information unlawfully, or violate privacy laws. Merchants remain responsible for compliance with privacy laws, data protection laws, and marketing consent requirements.

11. Marketing Compliance

Merchants using marketing features must comply with the TCPA, the CAN-SPAM Act, applicable privacy laws, and SMS consent requirements. Merchants are responsible for obtaining customer consent before SMS marketing, email marketing, and automated messaging. Astra POS is not responsible for merchant marketing violations.

12. Payroll and Employment Compliance

Merchants are solely responsible for employee classification, independent contractor classification, payroll taxes, wage calculations, and labor law compliance. Payroll tools are provided for informational and operational purposes only.

13. Inventory, Reporting & Recordkeeping

Users may not manipulate reports, falsify records, alter transaction history, or create misleading accounting records. Merchants remain responsible for inventory accuracy, accounting records, and tax reporting.

14. Hardware Program Abuse

Merchants receiving promotional hardware may not sell hardware, transfer hardware, lease hardware, or modify hardware without authorization. Hardware remains subject to applicable contractual obligations. Failure to comply may result in immediate termination, equipment recovery, and additional charges.

15. Monitoring

Astra POS reserves the right to monitor system usage, investigate suspicious activity, review account activity, review transaction activity, and cooperate with law enforcement. Monitoring may occur without prior notice where permitted by law.

16. Enforcement

Astra POS may take any action deemed necessary, including warnings, restrictions, account suspension, service termination, hardware recovery, transaction holds, reporting to processors, and reporting to law enforcement. Enforcement actions may occur without prior notice.

17. Reporting Violations

18. No Waiver

Failure by Astra POS to enforce any provision of this policy shall not constitute a waiver of its right to enforce such provision in the future.

Astra POS may update this Acceptable Use Policy at any time. Updated versions will become effective upon posting. Continued use of services constitutes acceptance of any revised policy.
