Software Subscription Agreement

The agreement governing merchant use of Astra POS software, hardware programs, and services.

Effective Date: June 11, 2026

This Software Subscription Agreement ("Agreement") is entered into by and between Astra POS LLC ("Astra POS," "Company," "we," "our," or "us") and the merchant, business owner, or entity accepting this Agreement ("Merchant," "Customer," or "Subscriber"). By using Astra POS software, services, hardware, portals, applications, or related products, Merchant agrees to be bound by this Agreement.

2. Services Provided

Astra POS provides software and business management tools that may include:

3. Software License

Subject to compliance with this Agreement, Astra POS grants Merchant a limited, revocable, non-exclusive, non-transferable license to use the software solely for Merchant's internal business operations. Merchant may not:

5. Annual Plans

Annual subscriptions are billed in advance. Annual plans receive a ten percent (10%) discount from the equivalent monthly subscription cost. Annual subscriptions are non-refundable except where required by law.

6. Lifetime License

Astra POS may offer a Lifetime License program. Current Lifetime License Fee: $4,995 (One-Time Fee). A Lifetime License grants Merchant a perpetual right to use the licensed version of Astra POS software. Lifetime License does not guarantee future software upgrades, new software modules, cloud services, third-party integrations, payment processing services, or technical support, unless specifically included in writing. Astra POS reserves the right to discontinue future support for older software versions.

7. Billing and Payments

Merchant authorizes Astra POS to charge all subscription fees, support fees, licensing fees, and related charges using the payment method on file. Failure to maintain a valid payment method may result in suspension or termination of services. Past due balances may incur collection costs, attorneys' fees, and interest permitted by law.

8. Free Hardware Program

Certain merchants may qualify for a Free Hardware Program. Hardware may include a POS terminal, touchscreen monitor, receipt printer, cash drawer, barcode scanner, and payment device. Hardware program eligibility is subject to approval by Astra POS.

9. Processing Agreement Requirement

Merchants receiving free hardware agree to maintain a minimum twenty-four (24) month processing relationship with Astra POS or its designated processing partners. Merchant acknowledges that hardware is provided as part of a promotional program, that monthly software subscription fees remain applicable, and that processing services and software services are separate obligations.

10. Early Termination

If Merchant terminates participation in the Free Hardware Program before completion of the twenty-four (24) month term, Merchant shall pay an Early Termination Fee of $2,495, plus return all hardware within fifteen (15) calendar days. Returned equipment must be functional, complete, and free from excessive damage. Merchant may be charged replacement costs for missing or damaged equipment.

11. Ownership of Equipment

Unless otherwise agreed in writing, hardware provided under promotional programs remains the property of Astra POS until all contractual obligations are satisfied. Astra POS reserves the right to recover equipment upon termination.

12. Data Ownership

Merchant retains ownership of customer records, appointments, sales history, inventory records, employee records, loyalty information, and gift card information. Astra POS receives a limited right to store, process, backup, transmit, and manage such information for service delivery purposes.

13. Cloud Hosting

Astra POS utilizes cloud infrastructure providers including Amazon Web Services (AWS). Merchant acknowledges that services may depend upon third-party infrastructure, that internet connectivity is required for certain features, and that temporary interruptions may occur. Astra POS does not guarantee uninterrupted service availability.

14. Appointment Booking Disclaimer

Appointment scheduling tools are provided as a convenience. Merchant is responsible for confirming appointments, managing staff schedules, and resolving appointment disputes. Astra POS shall not be liable for missed appointments, double bookings, scheduling conflicts, or lost business opportunities.

15. Payroll Disclaimer

Payroll features are calculation and reporting tools only. Merchant is solely responsible for wage calculations, commissions, payroll tax compliance, labor law compliance, contractor classification, and employee classification. Astra POS does not provide payroll, tax, legal, or employment advice.

16. Inventory Disclaimer

Inventory reports are informational tools only. Merchant remains responsible for physical inventory counts, product verification, reordering decisions, and inventory accuracy. Astra POS shall not be liable for inventory shortages or inaccuracies.

17. Gift Card Programs

Merchant is solely responsible for compliance with state gift card laws, federal regulations, redemption requirements, and escheatment requirements. Merchant remains responsible for honoring gift card obligations.

18. Loyalty Programs

Merchant is solely responsible for reward structures, promotions, discounts, and customer redemption policies. Astra POS does not guarantee customer participation or business results.

19. Technician Turn Queue

Technician queue and rotation tools are provided as operational aids. Merchant remains responsible for employee assignments, contractor assignments, queue settings, and fairness policies. Astra POS is not responsible for workplace disputes or compensation disputes.

20. Acceptable Use

Merchant shall not engage in fraud, process illegal transactions, use services unlawfully, violate intellectual property rights, introduce malicious software, or attempt unauthorized access. Violation may result in immediate suspension.

21. Service Suspension

Astra POS may suspend services for non-payment, fraud, security threats, violation of this Agreement, or illegal activities. Suspension does not relieve Merchant of payment obligations.

22. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ASTRA POS DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED SERVICE. ASTRA POS DOES NOT GUARANTEE PROFITS, REVENUE INCREASES, COST SAVINGS, OR BUSINESS SUCCESS.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA POS SHALL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. ASTRA POS'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY MERCHANT DURING THE PRECEDING TWELVE (12) MONTHS.

24. Indemnification

Merchant agrees to indemnify and hold harmless Astra POS LLC, its members, employees, affiliates, contractors, and agents from claims arising from Merchant operations, employee disputes, contractor disputes, gift card claims, loyalty program claims, regulatory violations, data entered by Merchant, and Merchant misuse of services, including reasonable attorneys' fees and costs.

25. Force Majeure

Astra POS shall not be liable for delays or failures caused by internet outages, AWS outages, utility failures, natural disasters, cyberattacks, government actions, labor disruptions, or pandemics.

26. Governing Law

This Agreement shall be governed by the laws of the State of Georgia.

27. Arbitration

Any dispute shall be resolved through binding arbitration in Gwinnett County, Georgia. The parties waive any right to a jury trial.

28. Class Action Waiver

Merchant agrees not to participate in any class action, collective action, or representative action against Astra POS. All disputes shall be resolved individually.

29. Attorneys' Fees

The prevailing party in any dispute shall be entitled to recover reasonable attorneys' fees, costs, and expenses.

30. Entire Agreement

This Agreement constitutes the entire agreement regarding software services and supersedes prior discussions and representations. Separate agreements may govern Payment Processing, Marketing Services, Hardware Purchases, and Merchant Accounts.
